Robert DeFeo

PRESIDENT & MEMBER OF THE

HERITAGE BOARD OF DIRECTORS

Mr. DeFeo is responsible for overseeing the investment, financial reporting and actuarial activities. Mr. DeFeo has oversight responsibility for each of the service providers that Heritage engages. In addition to his position as President of Heritage, Mr. DeFeo serves as the CEO of several other companies owned by Robert Patton, whose assets include fixed income instruments, private equity, oil and gas, entertainment, professional sports, real estate and other diverse investments. Mr. DeFeo’s prior experience includes management roles at Domestic Energy Partners, Southeastern Kansas Pipeline and Transmission Co., Heavy Petroleum Partners, a financial services/insurance agency, and as a practicing attorney. He holds undergraduate and law degrees from Northwestern University and Pepperdine University.

Dan Turner

CHIEF FINANCIAL OFFICER AND A MEMBER

OF THE HERITAGE BOARD OF DIRECTORS

Mr. Turner is responsible for the financial oversight of the company. In addition, he serves as Treasurer. Mr. Turner’s prior experience includes Managing Director at Guggenheim Partners, and Associate Director at Aon Capital Markets, a subsidiary of Aon Corporation. He is also Managing Director of Franklin Monroe Administrative Services, LLC. Mr. Turner earned a Master of Business Administration, with honors, from the University of Chicago Booth School of Business, and a Bachelor of Business Administration, with honors, from the University of Notre Dame.

Lynn Laswell

SENIOR VICE PRESIDENT AND CONTROLLER

Mr. Laswell is responsible for all daily operational oversight including the general and investment accounting and reporting as well as accounting policy and compliance with the regulatory bodies. He joined Heritage Life from Guggenheim Life and Annuity Company where he managed the financial reporting, accounting and general ledger activities for four shared services insurance companies. Mr. Laswell started his insurance career as an examiner and examiner-in-charge for the state of Illinois. After leaving the regulatory world, he acquired extensive insurance experience in a variety of management roles at Transamerica Reinsurance, Genworth and TIAA- CREF. He is an Illinois CPA, Fellow – Life Management Institute, Chartered Life Underwriter and a Chartered Financial Consultant.

Peter McPherson

SENIOR VICE PRESIDENT, ACTUARIAL

Mr. McPherson is responsible for transaction pricing and leads risk monitoring and management of inforce business. He joined Heritage from Guggenheim Life and Annuity Company where he led Enterprise Risk Management. Mr. McPherson’s prior experience also includes a variety of management roles at Allstate Financial and CNA. He is a Fellow of the Society of Actuaries and earned his bachelor’s degree from the University of Michigan.

Patrick Shropshire

SENIOR VICE PRESIDENT OF INVESTMENTS

AND PORTFOLIO MANAGER

Mr. Shropshire is responsible for the development, maintenance and oversight of Heritage’s investment portfolio. In addition, Mr. Shropshire is responsible for overseeing Heritage’s third-party investment managers. Mr. Shropshire was previously a credit analyst at Q Investments, a multi-billion dollar private investment firm. Prior experience includes private equity investing at Ridgemont Equity Partners and investment banking roles at Lazard Frères and Wells Fargo. Mr. Shropshire has a Master of Business Administration, with honors, from the University of Chicago Booth School of Business and a Bachelor of Arts from the University of Virginia.

Jay Kallas

GENERAL COUNSEL

Mr. Kallas is responsible for the legal oversight and regulatory compliance of the company. Mr. Kallas joined Heritage from the insurance practice group of the international law firm Mayer Brown. His prior experience includes leading the legal functions for life reinsurance, capital markets and mergers & acquisitions at The Allstate Corporation. Mr. Kallas earned his law degree from Northwestern University and a Bachelor of Science from the University of Illinois.
